What is the VUE?

The Ventanilla Unica de Empresas (VUE) is a business-registration initiative coordinated by the Ministerio de Economia (MINECO). Rather than requiring entrepreneurs to visit multiple government offices separately, it channels the core registrations through a single point of contact.

In practice, the Registro Mercantil coordinates the SAT step (SAT assigns the NIT automatically during the RM review process for sociedades). IGSS registration is a separate step you complete after receiving the patente. The municipalidad step is independent and varies by municipality.

What VUE is NOT a disambiguation

  • VUE is not a single website — there is no single URL where all four registrations happen online simultaneously. Each institution has its own portal and, in most cases, still requires an in-person visit for initial registration.
  • VUE is not the same as the Registro Mercantil Sede Virtual — the Sede Virtual (sedevirtual.registromercantil.gob.gt) handles specific services like annual patente renewal, but not initial inscription.
  • VUE is not required for freelancers — if you work as an independent professional (liberal profession) and register only at SAT as a natural person under the General VAT Regime, you do not need a patente de comercio.

Business types covered

The Registro Mercantil handles inscription for three main commercial structures:

1. Empresa Individual (Sole Trader / Individual Merchant)

The simplest and cheapest structure. Suited for small businesses and sole entrepreneurs.

Limited liability company. Requires a notarized public deed of incorporation.

3. Sociedad de Responsabilidad Limitada (LLC / SRL)

Step-by-step process

Phase 1 — Registro Mercantil

Empresa individual

  1. Download the form free at registromercantil.gob.gt or buy for Q10 at Banrural. Complete it by typewriter or computer (handwritten is not accepted).
  2. Pay Q100 at any Banrural branch (code 18 of the RM tariff). Keep the receipt.
  3. Present the expediente at the Registro Mercantil window: signed form, payment receipts, DPI photocopy, and utility bill.
  4. Wait for juridical review and SAT delegation check (~1–2 weeks).
  5. Pick up the patente de comercio and adhere Q50 in fiscal stamps (timbres fiscales).
  6. Download the electronic patente at servicios.registromercantil.gob.gt/edocs/.

Sociedad anonima

  1. Choose the company name — must include “Sociedad Anonima” or “S.A.” in the name.
  2. Have a notary draft the escritura publica de constitucion (public deed of incorporation). This is the largest variable cost.
  3. Deposit minimum paid capital (Q200) in a bank account opened in the name of the sociedad.
  4. Download and complete formulario SATRM-02 (two copies).
  5. Calculate and pay aranceles at Banrural.
  6. Present the expediente at the Ventanilla de Sociedades Nuevas of the Registro Mercantil.
  7. Wait for Departamento Juridico review and SAT delegado review (~2–3 weeks). SAT assigns the NIT automatically at this stage.
  8. Receive patentes (two: one for the sociedad, one for the empresa) and adhere Q50 fiscal stamps to each.

Phase 2 — Municipal business license

After the patente is obtained, the licencia municipal de negocio must be applied for at the relevant municipalidad. Requirements and costs vary by municipality; for Guatemala City (Municipalidad de Guatemala), the online information portal is vu.muniguate.com.

Typical requirements include: DPI of owner or legal representative, patente de comercio, NIT, description of business activity, and payment of the municipal fee (generally Q200–Q2,000 annually depending on business type and municipality).

Phase 3 — IGSS employer registration (when first worker is hired)

Once you have a patente and at least one employee:

  1. Download formulario DRPT-001 from igssgt.org/patronos/inscripcion-patronal/ or pick it up at any IGSS office.
  2. Complete the form with company and worker data.
  3. Present at IGSS (central office or departmental branch) or register online via the IGSS portal.
  4. Wait for patronal number assignment (~1–2 weeks).
  5. Register each worker within the first 20 days of the employment relationship.

Annual renewal obligation

Every business must renew its patente de comercio annually:

Common errors and how to avoid them

1. Incomplete formulario

Registro Mercantil windows reject handwritten forms. The form must be filled by typewriter or computer. If any required field is blank, the window will reject the expediente on the spot.

Fix: Complete the form digitally before printing. Download the current version from the official RM site — old versions may be rejected.

2. Missing fiscal stamps (timbres fiscales)

The patente de comercio is not valid without Q50 in fiscal stamps adhered to it. Many applicants pick up the patente and forget this step.

Fix: Buy Q50 of timbres fiscales at a bank or at the RM itself and adhere them to the patente the same day you collect it.

3. Business address utility bill mismatch

If the utility bill is in a different name or address than what is declared on the form, the window may reject the expediente.

Fix: Use a utility bill that clearly matches the registered business address. If the premise is rented, the landlord’s bill plus a lease contract may be accepted — verify with the RM window before presenting.

4. S.A. — wrong minimum capital deposit

The escritura must state a subscribed capital of at least Q200, and evidence of the deposit (a bank certificate or bank statement) must be presented. If the deposit is not documented, the juridical review will reject the expediente.

Fix: Open the bank account and obtain the deposit certificate before the notary finalizes the escritura. The bank account must be in the name of the company being formed.

5. Not updating or renewing the patente

If the patente is not renewed annually, the Registro Mercantil may cancel the registration. A cancelled registration creates problems with SAT (RTU deactivation) and can trigger fines.

Fix: Set a calendar reminder for annual renewal. It can be done online via the Sede Virtual — no in-person visit needed.

6. Confusing “empresa individual” with “persona individual” at SAT

The NIT for the empresa individual is the same as the owner’s personal NIT (obtained via CUI for Guatemalan nationals). You do not need a separate NIT for an empresa individual. For a sociedad (S.A. or SRL), the sociedad gets its own NIT — different from the legal representative’s personal NIT.

Fix: Before making any SAT appointments, confirm whether you need a personal or company NIT. The SAT NIT for the company is assigned automatically during the RM juridical review for sociedades.
